Sunplus Board of Directors Proposes Distribution of 2003 Profits
Including Cash Dividend of NT$1.5 and Stock Dividend of NT$1.0
Hsinchu Science Park, Taiwan, R.O.C. April 20th, 2004 - Sunplus Technology Co., Ltd. ("Sunplus" or "the company") (TAIEX: 2401, LSE: SUPD) today held a meeting of the Board of Directors and Supervisors, at which the Board adopted a proposal recommending distribution of cash dividend from profits as NT$1.5 per common share and stock dividend from profits as 20 shares per 1000 shares and from capital surplus as 80 shares per 1,000 shares. According this proposal, GDR holders will get 10% stock dividend and cash dividend NT$3 per GDR share for each GDR share represents 2 common Sunplus shares.

The BOD also proposed of new shares for capital increase from 2003 profits for employee stock bonus program. The proposed total shares for employee stock bonus are 20,000,000 shares at par value, which are equivalent to NT$200,000,000.

The proposal will be discussed and voted on at the regular annual shareholders' meeting scheduled on June 1st 2004. The lock-up period shall be notified on the invitation to the shareholders' meeting.

Sunplus net sales (parent company only) for 2003 were NT$11.098 billion, and net income after tax was NT$2,007 million, with earnings per share of NT$2.58 based on outstanding shares 777.504 million shares.

Sunplus Annual shareholders' meeting will be held in Room 101 of The Association of Allied Industries in Science Park at 9:00 AM on June 1st, 2004. Invitations to the shareholders will be sent 30 days prior to the date of the shareholders' meeting by mail.
