Sunplus Shareholders Meeting Approved NT$2 Cash Dividend and 5% Stock Dividend
Science-Based Industrial Park, Hsinchu, Taiwan,
R.O.C. June 13th, 2005 - Sunplus Technology Co.,
Ltd. (SUNPLUS or the "Company") (TAIEX: 2401,
LSE: SUPD), today held the annual shareholders meeting,
at which the shareholders approved the distribution of NT$2
cash dividend per common share plus 5% stock dividend. According
this proposal, GDR holders will get NT$4 cash dividend per
GDR share for each GDR share represents 2 common Sunplus
shares and 5% stock dividend.
The major resolutions of this shareholders' meeting are
as follow:
- Shareholders accepted the financial results for 2004.
Net sales for FY2004 were NT$18,940 million and net income
was NT$2,738 million, with an earnings per share of NT$3.15.
- Shareholders approved the capitalization of dividends
and employee profit sharing to be distributed from fiscal
year 2004 profits and capital reserves. The company will
distribute NT$2.0 cash dividend per common share from
profits and 5% stock dividend as 30 shares per 1,000 shares
from profits also 20 shares per 1,000 shares from capital
surplus, and issue 22,500,000 shares as employee stock
bonus plus employee cash bonus NT$25million from earnings.
Issuance of new shares totaled 66,262,720 common shares.
The total outstanding shares after dividend will be 941,517,120
shares.
- Increase authorized capital to NT$10.5 billion from
NT10 billion.
